Background

In December 2020, Cleanspark agreed to purchase the ATL Data Center in College Park. The facility was originally designed for 20 MW of total capacity, and upon purchasing the facility, Cleanspark began the process of expanding the facility to 50 MW. A March 2022 form 8-K filed with the Securities and Exchange Commission indicates that the facility is operational at 47 MW.

A Class action lawsuit was filed against Cleanspark in February 2022, alleging that the company mislead investors regarding its primary business and didn't follow through with guarantees made regarding its College Park facility. The plaintiffs allege that Cleanspark described itself "as an energy company that provides advanced software and controls technology solutions, including end-to-end microgrid energy modeling, energy market communications, and energy management solutions. In its most recent Form 10-K, however, CleanSpark has described itself as 'a leading bitcoin mining and diversified energy company.'” The plaintiffs suffered financial damage as Cleanspark's share price declined from a high of $38.90 in January 2021 to $4.02 on July 29, 2022.
